1. Agreement Overview
This Vendor Agreement ("Agreement") governs the relationship between None of the Bad.com ("None of the Bad," "we," "us") and any individual or business ("Vendor") that applies to sell products on the None of the Bad marketplace. By submitting an application or listing products, you agree to these terms.
2. Vendor Eligibility & Application
To become an approved Vendor, you must:
- Be a legally registered business entity in the United States
- Hold all applicable food handling, production, and sales licenses required by federal, state, and local law
- Submit complete and accurate business and product information during the application process
- Agree to None of the Bad's Clean Ingredient Standards (see Section 5)
None of the Bad reserves the right to reject any application at its sole discretion.
3. Product Listings
Vendors are responsible for:
- Providing accurate, complete, and up-to-date product titles, descriptions, ingredients, allergen information, and images
- Immediately notifying None of the Bad of any ingredient changes that may affect Clean Label compliance
- Ensuring all product claims (e.g., "organic," "non-GMO," "gluten-free") are legally substantiated and verified
- Maintaining accurate inventory levels and pricing
4. Order Fulfillment
- Vendors must fulfill orders within the processing time stated on their product listings
- Vendors are responsible for packaging, shipping, and tracking
- Vendors must use reputable carriers and provide tracking numbers for all shipments
- Failure to fulfill orders in a timely manner may result in suspension or removal from the Platform
5. Clean Ingredient Standards
All products listed on None of the Bad must comply with our Clean Ingredient Standards. Prohibited ingredients include but are not limited to:
- Maltodextrin and modified food starch
- Artificial colors, flavors, and preservatives
- High-fructose corn syrup and artificial sweeteners
- Partially hydrogenated oils (trans fats)
- MSG and other synthetic flavor enhancers
- Carrageenan, BHA, BHT, and TBHQ
All products must achieve a minimum NOTB Score of 80 to be listed on None of the Bad. Children's products require a minimum NOTB Score of 85. Products that fall below the applicable threshold upon re-scoring will be delisted with 30 days written notice. None of the Bad reserves the right to update these standards and will provide 30 days notice of material changes. A full list of banned ingredients is available at noneofthebad.com/BannedIngredients.
6. Third-Party Batch Testing
- Third-party batch testing is required for all products listed on None of the Bad
- All test results must be shared with None of the Bad prior to listing and upon each subsequent test
- A minimum of one batch test per product per calendar year is required to maintain active listing status
- Vendor bears all costs associated with testing
- None of the Bad must be notified immediately of any formula, supplier, or manufacturing process change
- Any such change triggers a mandatory re-review and may require re-testing before the product may continue to be listed
7. Strike & Recall Policy
- A failed batch test result will trigger an immediate product pull pending re-test confirmation
- Vendors accumulating 2 strikes will receive a permanent ban from the None of the Bad platform with no right of appeal
- A single strike for intentional mislabeling results in an immediate permanent ban
- None of the Bad will proactively notify all customers who purchased an affected product that subsequently fails batch testing or is found to be non-compliant
8. None of the Bad Verified Badge
Vendors who maintain an
NOTB Score of 90 or higher for 12 or more consecutive months with no failed batch tests are eligible for the None of the Bad Verified Badge. The following conditions apply:
- Badge eligibility requires an annual audit conducted or approved by None of the Bad
- Verified vendors may display the None of the Bad Verified Badge on their product packaging and marketing materials
- Badge eligibility is revoked immediately upon any failed batch test, formula violation, or breach of Clean Ingredient Standards
- None of the Bad retains sole authority to grant, suspend, and revoke badge status
9. Fees & Commission
None of the Bad charges a commission on each completed sale, as detailed in the Vendor Dashboard. None of the Bad reserves the right to adjust commission rates with 30 days written notice. Payments are disbursed on a rolling basis after order completion and any applicable hold periods for fraud review.
10. Prohibited Products
Vendors may not list products that:
- Are adulterated, misbranded, or in violation of FDA regulations
- Make unauthorized health claims under FDA or FTC guidelines
- Require refrigeration or special handling unless explicitly approved by None of the Bad
- Are subject to recalls or safety alerts
11. Compliance with Laws
Vendors must comply with all applicable laws including the Food Safety Modernization Act (FSMA), FDA labeling requirements, USDA regulations, state food safety laws, and FTC truth-in-advertising rules. Vendors assume full legal responsibility for the products they sell.
12. Indemnification
Vendor agrees to indemnify, defend, and hold harmless None of the Bad and its affiliates, officers, employees, and agents from any claims, liabilities, damages, and expenses (including attorney's fees) arising from: (a) Vendor's products, (b) Vendor's breach of this Agreement, (c) Vendor's violation of applicable law, or (d) any third-party claims related to Vendor's products or business practices.
13. Termination
Either party may terminate this Agreement with 30 days written notice. None of the Bad may immediately suspend or terminate a Vendor for: breach of Clean Ingredient Standards, fraudulent activity, product safety issues, or violation of applicable law. Upon termination, pending orders must still be fulfilled.
14. Dispute Resolution
Disputes between Vendors and None of the Bad shall be resolved through binding arbitration in Florida under AAA rules. This Agreement is governed by the laws of the State of Florida.
